These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and NexSYS Advisors LLP, a limited liability partnership registered under the Limited Liability Partnership Act, 2008, having its registered office at 20-A, Radha Kishan Colony, Jaipur, Rajasthan 302005, India ("NexSYS", "Company", "we", "us", or "our").

These Terms govern your access to and use of the website located at www.nexsysadvisors.com (the "Website"), including any content, features, tools, services, and functionalities offered through the Website and the DueDraft.ai platform (collectively, the "Services").

By accessing, browsing, or using the Website or any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy (available at www.nexsysadvisors.com/privacy), which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease using the Website and the Services.

These Terms are published in compliance with, and shall be governed by, the provisions of the Information Technology Act, 2000 and the rules made thereunder, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (as amended from time to time), the Indian Contract Act, 1872, and all other applicable laws of India.

Your continued use of the Website following the posting of any changes to these Terms constitutes acceptance of those changes. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting on the Website.

"Applicable Law" means any statute, law, regulation, ordinance, rule, judgment, order, decree, bye-law, approval, directive, guideline, policy, requirement, or governmental restriction having the force of law in India or any other relevant jurisdiction.

"Content" means any text, data, information, images, graphics, audio, video, software, documents, templates, or other materials made available through the Website or the Services.

"DueDraft.ai" or "Platform" means the proprietary legal technology platform developed and operated by NexSYS, used to deliver AI-powered legal, tax, and compliance services.

"Intellectual Property" means all patents, copyrights, trademarks, service marks, trade names, domain names, trade secrets, know-how, and any other intellectual property rights, whether registered or unregistered.

"Personal Data" has the meaning ascribed to it under the Digital Personal Data Protection Act, 2023, and includes any data about an individual who is identifiable by or in relation to such data.

"User Account" means the account created by a User to access and use the Platform and its features.

"User Content" means any data, information, documents, files, or materials uploaded, submitted, or transmitted by a User through the Website or the Services.

The Website and the Services are intended for use by persons who are of sound mind and have attained the age of eighteen (18) years. By accessing or using the Website, you represent and warrant that you are at least 18 years of age, are of sound mind, and are competent to enter into a binding contract under the Indian Contract Act, 1872.

If you are accessing or using the Website or the Services on behalf of a body corporate, partnership firm, limited liability partnership, trust, or any other legal entity, you represent and warrant that you have the requisite authority to bind such entity to these Terms.

The Services are designed for, and primarily offered to, startups and SMEs seeking legal, tax, and compliance advisory services; individual professionals; chartered accountants, company secretaries, and law firms exploring the DueDraft.ai platform; and enterprise clients including family offices, venture capital and private equity firms.

NexSYS provides an integrated, multidisciplinary advisory practice combining legal counsel, chartered accountancy, and company secretarial services, augmented by the proprietary DueDraft.ai platform. Services include: General corporate advisory, entity structuring, governance, and commercial contracts; Mergers and acquisitions advisory; Private equity and venture capital fundraise execution; Capital markets advisory and SEBI compliance; Litigation and dispute resolution; Banking and finance advisory; Secretarial and compliance services; Audit and tax compliance; Accounting services; and AI-powered contract generation through DueDraft.ai.

All AI-generated outputs provided through the DueDraft.ai platform are reviewed and validated by qualified professionals (advocates, chartered accountants, or company secretaries, as applicable) prior to delivery. The Company uses artificial intelligence as an accelerator and not as a replacement for professional human judgement.

The Services are provided on an "as is" and "as available" basis. The territorial applicability of the Services shall be limited to India, unless otherwise specifically agreed upon in a separate engagement letter or service agreement.

To access certain features of the Services, you may be required to create a User Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your User Account. You agree to immediately notify NexSYS of any unauthorised use of your account or any other breach of security.

NexSYS reserves the right to suspend, disable, or terminate your User Account at its sole discretion, without prior notice, if the Company reasonably believes that you have violated any provision of these Terms or any Applicable Law.

By using the Website and the Services, you agree to: comply with all Applicable Laws and these Terms; use the Website and the Services only for lawful purposes; provide accurate and truthful information in all dealings with NexSYS; and not use the Services for any commercial purpose beyond the scope of your engagement with NexSYS, unless expressly authorised in writing.

You shall not, directly or indirectly, through the use of the Website or the Services: host, display, or share any information that belongs to another person without right; share any harmful, defamatory, obscene, or unlawful information; infringe any intellectual property rights of any third party; upload any files containing viruses, malware, or other harmful code; attempt to gain unauthorised access to any system or server of NexSYS; reverse engineer, decompile, or disassemble the Platform; use any automated means to access the Website without express written consent; or use the Services for any purpose competitive with NexSYS.

NexSYS reserves the right to take down, remove, or disable access to any User Content or information that violates any of the above prohibited activities, without prior notice. The Company further reserves the right to report any such violation to the appropriate law enforcement authorities.

All Content available on the Website, including but not limited to the design, layout, look and feel, graphics, images, text, logos, trademarks, software code, algorithms, databases, and the DueDraft.ai platform (collectively, "NexSYS IP"), is the exclusive property of NexSYS Advisors LLP or its licensors and is protected under Applicable Law.

Subject to your compliance with these Terms, NexSYS grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and the Services solely for your internal business or personal purposes. This licence does not include any right to resell, sublicence, reproduce, modify, or create derivative works of any NexSYS IP.

You retain ownership of all User Content that you upload or submit to the Website or the Platform. By uploading or submitting User Content, you grant NexSYS a non-exclusive, worldwide, royalty-free, irrevocable licence to use, process, store, reproduce, and display such User Content solely for the purpose of providing the Services to you.

Your use of the Website and the Services is also governed by our Privacy Policy, available at www.nexsysadvisors.com/privacy. By using the Website, you consent to the collection, use, storage, and processing of your Personal Data in accordance with our Privacy Policy.

NexSYS may share your information with third parties where required by Applicable Law; in connection with a corporate transaction; with service providers subject to appropriate confidentiality obligations; or where you have provided your express consent to such sharing.

The Website uses cookies, web beacons, and similar tracking technologies to enhance your browsing experience, analyse Website traffic, and understand usage patterns. We use Google Analytics and similar tools to collect anonymised data about how Users interact with the Website.

Certain Services offered through the Website may require payment of fees. All fees shall be quoted in Indian Rupees (INR) unless otherwise specified. The applicable fees, payment terms, and billing cycle shall be communicated to you at the time of engagement.

Refund and cancellation requests shall be governed by the terms of the applicable engagement letter or service agreement. Requests for cancellation must be made in writing to contact@nexsysadvisors.com. Refunds, if applicable, shall be processed within thirty (30) business days of approval. No refunds shall be issued for Services already rendered.

All fees are exclusive of applicable taxes, including Goods and Services Tax (GST), which shall be charged in addition to the fees, as applicable under Applicable Law.

The Website, the Platform, the Services, and all Content are provided on an "AS IS" and "AS AVAILABLE" basis, without any representation or warranty of any kind, whether express, implied, or statutory.

To the maximum extent permitted by Applicable Law, NexSYS, its partners, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your access to, use of, or inability to use the Website or the Services.

In no event shall the aggregate liability of NexSYS to you for all claims arising out of or relating to these Terms or the Services exceed the total fees paid by you to NexSYS during the twelve (12) months immediately preceding the event giving rise to such liability, or INR 50,000 (Indian Rupees Fifty Thousand Only), whichever is lower.

You agree to indemnify, defend, and hold harmless NexSYS, its partners, officers, employees, agents, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Website or the Services, your breach of any provision of these Terms, your violation of any Applicable Law or the rights of any third party, or any User Content uploaded or submitted by you.

You represent and warrant that: you have the legal capacity and authority to enter into these Terms; all information provided by you is true, accurate, complete, and not misleading; your use of the Website and the Services shall not violate any Applicable Law or infringe the rights of any third party; and you have obtained all necessary consents, permissions, and authorisations required to use the Services.

NexSYS represents and warrants that: it has the authority and legal capacity to provide the Services; the Services shall be performed in a professional and workmanlike manner by qualified professionals; and the NexSYS IP does not, to the best of its knowledge, infringe the intellectual property rights of any third party.

Neither party shall be liable for any delay or failure in the performance of its obligations under these Terms if such delay or failure results from a Force Majeure Event, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, government action, internet or telecommunications failure, or any other event beyond the reasonable control of the affected party.

NexSYS may, at its sole discretion, suspend, restrict, or terminate your access to the Website and the Services, in whole or in part, at any time and for any reason, including breach of these Terms, non-payment of fees, request by law enforcement, or unexpected technical or security issues.

You may terminate your use of the Services at any time by deactivating your User Account. Termination of these Terms shall not affect the accrued rights and obligations of either party, and certain provisions shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Subject to Clause 18 (Dispute Resolution), the courts of Jaipur, Rajasthan, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the Dispute amicably through good faith negotiations for a period of thirty (30) days from the date of written notice of the Dispute.

If the Dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Jaipur, Rajasthan, India. The arbitral award shall be final and binding on the parties.

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, NexSYS has appointed a Grievance Officer to address your concerns:

The Grievance Officer shall acknowledge receipt of any grievance within twenty-four (24) hours and shall endeavour to resolve the grievance within fifteen (15) days from the date of its receipt.

The Website may contain links to third-party websites, applications, or services that are not owned or controlled by NexSYS. NexSYS has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of any third-party websites or services is at your own risk.

Entire Agreement: These Terms, together with the Privacy Policy and any engagement letters or service agreements, constitute the entire agreement between the parties with respect to the subject matter hereof.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: The failure of NexSYS to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without the prior written consent of NexSYS. NexSYS may assign or transfer these Terms without restriction.

Notices: All notices required under these Terms shall be in writing and shall be sent to contact@nexsysadvisors.com or to the registered office address.
